The Head of Compliance will lead the compliance function for PFS Group in South Africa, including Prescient Management Company (MANCO), ensuring adherence to all applicable South African regulatory frameworks, including the Collective Investment Schemes Control Act (CISCA), Financial Advisory and Intermediary Services Act (FAIS), Financial Intelligence Centre Act (FICA), Protection of Personal Information Act (POPIA), and other regulatory requirements applicable to the PFS Group (SA). This individual will ensure that the company maintains its regulatory licences, promotes a culture of compliance, and proactively manages regulatory risk.

DUTIES & RESPONSIBILITIES

People Management

  • Lead and manage the MANCO and PFS compliance and risk team.
  • Oversee recruitment, performance evaluation process, and retention strategies in collaboration with the CEO. Assist in the evaluation of staff performance on a regular basis, informally and during formal reviews and provide effective performance feedback to staff.
  • Enhance and establish processes that promote a healthy team culture and supportive of a client centric work environment. Build a team culture focused on accountability, ownership, and service excellence.
  • Uphold and reinforce company culture, values, and vision through leadership.
  • Report to the MANCO and PFS Exco/Management committees and Audit and Risk committee.
  • Member of Prescient Group Compliance Committee.

Design and ensure implementation of the annual compliance monitoring plan covering compliance with CISCA, JSE Debt and Specialist Securities Listing Requirements, FAIS, Pension Funds Act (including S13B), FICA and POPIA.

 

MANCO Oversight

  • Manage relationship with Trustees and various reporting requirements to Trustees.
  • Ensure ongoing oversite of third-party investment managers and service providers to ensure they meet fit and proper standards.
  • Implementation and ongoing compliance with the New Conduct Standard for CIS Managers and any new regulatory frameworks and requirements.
  • Responsibility for compliance with the requirements of Regulation 28 and CISCA etc. Responsibility includes monitoring compliance, documenting findings and reporting findings to management.
  • Assisting with ASISA & FSCA quarterly reporting.
  • Liaising with the Regulator for new fund applications. 
  • Review of hedge fund risk reporting and monitoring in terms BN52 performed by the MANCO risk specialist.
  • Oversight of ongoing compliance of JSE listing requirements for the Prescient ETF Scheme.

 

Oversight of Investment Compliance Monitoring which will require knowledge of:

  • Collective Investment Schemes Act: Board Notice 90 of 2014, Board Notice 92 of 2014, Board Notice 257 of 2013 (foreign collective investment due diligence), Board Notice 52 of 2015 Hedge Funds.
  • Pension Fund Act: Regulation 28.
  • Medical Schemes Act: Regulation 30.
  • Long Term Insurance Act: Regulation 2.2.
  • UCITS.
  • ASISA Standards & Guidelines.

 

FAIS oversight for PFS Group

  • Oversight of the PFS (and related entities) FAIS compliance officer.
  • Oversight of FAIS monitoring and planning for Prescient Fund Services.

 

S13B oversight

  • Oversight of Prescient Fund Administration’s compliance with the requirements of S13B of the Pension Funds Act.

Retirement Funds

  • Oversight of the Prescient Retirement Funds compliance with the Pension Funds Act.

 

Risk Management

  • Identify compliance-related risks and work with risk management teams to mitigate them.
  • Coordinate with internal audit, legal, and risk functions to ensure a unified approach to governance.

 

General

  • Update, review and implement policies.
  • Monitor changes in legislation and communicate impacts to the business.
  • Provide compliance training where required.
  • Responsibility for liaison with Regulators, fostering a good working relationship.
  • Adhoc tasks as required.

 

REQUIRED EXPERIENCE

  • A minimum of 8 - 10 years’ compliance experience gained in the MANCO / Asset Management / Fund Services environment. 
  • Sound understanding and exposure to the various applicable legislations including, but not limited to, CISCA, Reg 28, FAIS, POPIA, Long Term Insurance Act, UCITS, JSE requirements, FICA and Medical Schemes Act. 
  • Hedge fund knowledge specifically BN52.

REQUIRED QUALIFICATIONS

  • Relevant tertiary qualification.
  • Certificate in Compliance Management would be an advantage.
